Contracts Manager
• Responsible for preparing, drafting, negotiating and administering complex
software license, evaluation, consulting, and non-disclosure agreements in
support of VMware’s North American sales team.
• Responsible for reviewing all contractual documents to ensure adherence to the
company’s internal polices and conformance to VMware’s master agreements.
• Must interface daily with appropriate VMware staff to understand the business
structure and financial (revenue recognition) issues involved in the negotiation
of the contract.
• Responsible for advising all affected internal parties of contractual rights
and obligations and provide interpretation of terms and conditions, and make
recommendations based on a risk analysis.

Contracts Manager
• Responsible for many levels of professional tasks in support of Opsware’s
internal operations and sales activities. Must draft, negotiate and administer a
variety of commercial contracts in support of Opsware’s procurement activities
for all internal departments, such as software licensing, consulting/professional
service type agreements. Also responsible for negotiating and administering
various customer facing agreements in support of Opsware’s direct sales
activities, such as teaming agreements, evaluation agreements and non-disclosure
agreements. Interface daily with customers, vendors, sales and business owners.
• Served as the project lead and successfully evaluated, selected and
implemented a new contract database system for the legal department. Must perform
duties of a database administrator, working closely with the IT department to
manage error corrections, upgrades and the overall technical support needs of the
department, including the training of new users.
• Responsible for all aspects of the contract administration process for the
legal department from processing and preparing final documents for signature and
distribution to creating files and entering/maintaining information within the
database system.
• Established and implemented various internal policy and procedures relating to
Opsware’s procurement activities and internal business practices.

business partnerships with other Opsware units such as Marketing, Sales, IT and

development and professional service contracts in support of the worldwide sales
organization.

required internal approvals during contract negotiations.
• Developed and maintained internal process and procedures to effectively manage
all aspects of the contract administration process from pre-sales to contract

the development and improvement of the in house contract database.
VeriSign, Inc., Mountain View, CA (1999 – August 2003)
Contracts Manager
• Responsible for preparing, reviewing, drafting, amending and negotiating
various contract types for the US and International sales department. The
contracts included master services agreements, non-disclosure agreements,
consulting agreements, reseller agreements, various hardware and software
licensing agreements, some federal and state contracts and many other types of
contractual documents (i.e. review of RFP/RFI/RFQs) as needed.
• Ensured that all contracts in negotiation were in line with VeriSign’s overall
policies and business strategies and collaborated with other internal
departments, such as finance or engineering, to negotiate final documentation
with customers as needed.
• Worked closely with corporate counsel, marketing, finance and engineering to
draft and develop custom agreements or boilerplates as required. Managed and
maintained all internal policies and procedures relating to all aspects of the
contract administration process from pre-sales to contract closure. Ensured that
the sales or marketing department was informed of new internal processes and
provided guidance, training and support as required. Served as the escalation
point for contract related issues.

Education: B.S. in Business Management through the University of Phoenix,
currently in process. Majority of coursework already completed through San Jose
State University.
Special Skills: Proficient in Microsoft Word, Excel, PowerPoint and various
contract management databases. Fluent in Spanish and English. I was the
recipient of the “Player of the Month” award at Opsware Inc. in 2007 for bringing
